Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Momentum Forest Products E.E., a company registered in Greece with address at V. Olgas 83, Thessaloniki, 54642, Greece, operating the Solid Reception service ("we", "us", "our").

By accessing or using solidreception.com or any Solid Reception service, you agree to be bound by these Terms. If you do not agree, do not use our service.

2. Description of Service

Solid Reception provides an AI-powered phone secretary service for solo tradespeople (plumbers, electricians, HVAC technicians, and similar trades) operating in the United States. The service includes:

• AI-powered answering of incoming calls forwarded to your Solid Reception number.
• Collection of caller information including name, contact details, and nature of inquiry.
• Appointment booking integrated with your calendar.
• Instant notifications and daily call summaries delivered to you by email or SMS.

The service uses artificial intelligence and voice technology provided by third-party platforms including Vapi AI and Telnyx. Call quality, accuracy, and availability are subject to the performance of these underlying platforms.

3. Subscriptions and Billing

Solid Reception is offered on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

• Base fee: A fixed monthly subscription fee as displayed on our pricing page at the time of purchase.
• Usage fee: A per-minute charge for calls answered by your AI secretary, billed monthly in arrears.
• Beta pricing: Customers who subscribe during the beta period are entitled to the beta price for as long as their subscription remains active and uninterrupted.
• Free trial: Where a free trial is offered, no charge is made during the trial period. Your subscription and billing begin automatically at the end of the trial unless you cancel beforehand.

All billing is handled by Paddle, our Merchant of Record. Paddle is the seller of record for all transactions and handles all payment processing, tax collection, and invoicing.

4. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hello@solidreception.com. Cancellation takes effect at the end of your current billing period. You will retain access to the service until that date.

5. Refund Policy

Subscriptions are billed monthly. We do not offer refunds for partial months of service already rendered. Free trial periods are not charged. If you believe you have been charged in error, contact hello@solidreception.com within 14 days of the charge and we will investigate promptly. 6. TCPA Compliance and AI Calls

By signing up for Solid Reception, you acknowledge and agree that:

• You expressly consent to receive AI-generated calls and SMS messages from Solid Reception at the phone number you provide, for the purpose of account management, service updates, and product communications.
• Consent is not a condition of purchase. You may withdraw consent at any time by replying STOP to any SMS or by contacting hello@solidreception.com.
• You are solely responsible for ensuring your own use of Solid Reception complies with all applicable laws including the TCPA when calling your own customers.
• Solid Reception is not liable for any regulatory penalties arising from your use of the service in a manner that violates applicable telecommunications laws.

7. Acceptable Use

You agree not to use Solid Reception to:

• Place unsolicited calls or messages to individuals who have not given consent.
• Violate any applicable law or regulation including the TCPA, CAN-SPAM Act, or state equivalents.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to gain unauthorized access to our systems or data.
• Use the service for any illegal, harmful, or fraudulent purpose.

We reserve the right to suspend or terminate your account immediately for violations of these terms.

8. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted service. Solid Reception may be temporarily unavailable due to maintenance, third-party outages, or circumstances beyond our control. We are not liable for any losses resulting from service interruptions.

9. Intellectual Property

All content, software, and technology comprising the Solid Reception service is the property of Momentum Forest Products E.E. or its licensors. You may not copy, modify, distribute, or reverse engineer any part of the service without our written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Momentum Forest Products E.E. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to:

• Lost revenue or business opportunities due to missed or incorrectly handled calls.
• Errors or inaccuracies in AI-generated call transcripts or summaries.
• Third-party service failures including Vapi AI or Telnyx outages.

Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to us in the three months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in the United States, except where prohibited by law.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the service after that date constitutes acceptance of the updated Terms.
